These Terms of Service govern access to and use of UGCHost, including the public website, Creator accounts, Brand accounts, marketplace, messaging, payment workflows, affiliate tools, content systems and related services (collectively, the “Platform”). By creating an account, accessing protected features, posting a job, applying for work, purchasing services or otherwise using the Platform, you agree to these Terms.
1. Who may use UGCHost
You must be legally capable of entering into a binding agreement and must meet any minimum age required by the law that applies to you. If you use UGCHost for a company or other organization, you represent that you are authorized to bind that organization. We may require identity, business, payout, tax, age or other verification before enabling particular features.
2. Marketplace roles
UGCHost connects independent Creators with Brands. Unless expressly stated otherwise, Creators are independent service providers and Brands are independent purchasers of services. UGCHost is not the employer, employee, agent, partner or joint venturer of either party merely because they use the Platform. Users are responsible for deciding whether to enter into a collaboration and for complying with laws applicable to their own business, advertising, employment, tax and professional activities.
3. Accounts and accurate information
You must provide accurate information, protect your credentials and promptly update material account information. You may not impersonate another person or business, create deceptive profiles, buy or sell accounts, evade a suspension, or permit unauthorized people to use an account. Creator IDs, verification indicators and other platform credentials remain subject to UGCHost controls.
4. Jobs, applications, invitations and contracts
Brands may publish or privately circulate opportunities and Creators may apply or accept invitations subject to eligibility rules. A marketplace contract is formed when the applicable hiring flow records acceptance and any required funding condition is satisfied. The contract scope may include deliverables, due dates, revision limits, product requirements, usage rights, posting requirements, advertising permissions, milestones, retainers or other agreed terms. Users should review those terms before accepting.
5. Payments and payment providers
Payment services may be performed by third-party payment providers. UGCHost is not a bank and does not independently provide regulated card-processing or money-transmission services where a licensed provider is required. When a provider is used, you also agree to that provider’s terms. Amounts may be held, delayed, reversed or restricted when reasonably necessary to address fraud, chargebacks, disputes, sanctions, legal obligations, verification failures or suspected violations. Fees, taxes and net Creator earnings are shown in the applicable transaction flow or account record.
6. Platform fees, taxes and currency
UGCHost may charge service, processing, marketplace, withdrawal, subscription, affiliate or other disclosed fees. The applicable amount is the amount displayed or otherwise agreed before the relevant transaction. Users are responsible for taxes they are legally required to report or pay. Currency conversion and provider fees may be applied by third parties.
7. Keeping marketplace transactions on UGCHost
Users may not use UGCHost to identify or meet another user and then deliberately move the same marketplace transaction off-platform to avoid fees, safeguards or records, unless UGCHost expressly permits it. We may investigate circumvention and may restrict accounts or recover applicable fees where permitted by law.
8. Products, shipping and reimbursements
Some collaborations require a Brand to send a product or reimburse a purchase. The Brand is responsible for lawful products, accurate shipping information and any agreed reimbursement. The Creator must use products only as agreed and must not misrepresent delivery, purchase or reimbursement information. Carrier tracking and external commerce information may depend on third-party services.
9. Deliverables, revisions and acceptance
Creators must deliver the agreed work in good faith and by the agreed deadline, subject to approved extensions. Brands must review submissions reasonably and use revision requests for genuine corrections within the agreed scope, not to obtain free additional work. A delivery may be approved, revised, disputed or otherwise handled through the Platform workflow. UGCHost may use recorded briefs, messages, versions and contract data when assisting with disputes.
10. Intellectual property and usage rights
Each user keeps ownership of intellectual property they owned before a transaction. Rights in newly created deliverables are governed by the specific contract, package or usage-rights record. Unless a contract expressly states otherwise, no Brand receives broader advertising, whitelisting, perpetual, exclusive or third-party sublicensing rights merely by viewing a Creator’s portfolio. Where a transfer or license is conditioned on payment, those rights do not become effective until the required payment is completed and not reversed. Creators must not knowingly deliver material that infringes third-party copyrights, trademarks, privacy, publicity or other rights.
11. Portfolio and marketplace display
Creators grant UGCHost a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, transcode and display content they intentionally upload for their profile, portfolio, application or marketplace activity, solely as reasonably necessary to operate, secure, promote and demonstrate the Platform. This does not give UGCHost ownership of the Creator’s underlying content.
12. Advertising disclosures and truthful endorsements
Creators and Brands are responsible for complying with advertising, endorsement and consumer-protection rules. Paid, gifted, affiliate or otherwise material relationships must be disclosed when required. Content must not contain claims that are false, misleading or unsupported. Platform tools, suggested disclosure language or AI assistance do not replace a user’s own legal obligations.
13. Affiliate programs
Affiliate tracking and commission features may connect Brands and Creators to product sales or other conversion events. Commission eligibility depends on the applicable program terms, attribution record, return/cancellation status, holding period and fraud review. UGCHost may hold, reverse or correct commissions associated with refunded, duplicated, fraudulent or invalid conversions. External payout providers may impose additional requirements.
14. Retainers, milestones and recurring work
Users may agree to ongoing work or milestones through Platform records. Unless an expressly enabled payment method states otherwise, the existence of a recurring work schedule does not authorize UGCHost to make an undisclosed charge. Each funding or payment event remains subject to the displayed payment flow and applicable provider rules.
15. Messaging, reviews and community conduct
Users must not harass, threaten, discriminate against, defraud, spam or unlawfully exploit others. Reviews must reflect genuine marketplace experiences and may not be bought, fabricated, manipulated or used as leverage for extra work or refunds. UGCHost may remove or limit content that violates these Terms, applicable law or marketplace integrity standards.
16. Prohibited content and activity
You may not use UGCHost for unlawful activity; exploitation or sexual content involving minors; non-consensual intimate material; credible threats; fraud; malware; illegal goods or services; deceptive identity documents; infringement; unlawful discrimination; money laundering; sanctions evasion; or activity designed to compromise the Platform. Additional content or category restrictions may apply.
17. Verification, fraud prevention and safety
We may request identity documents, selfies, business information, payout verification, device signals or other information reasonably necessary to protect users, comply with law, reduce fraud or enable payment services. Verification status is not a guarantee that a user will perform satisfactorily or that every statement on a profile is accurate.
18. AI-assisted features
UGCHost may provide AI-assisted matching, drafting, content review or other tools. AI outputs can be incomplete or wrong and should be reviewed by a human before important decisions. We do not guarantee that an AI tool can determine authenticity, legality, performance, originality or compliance. Users remain responsible for what they publish, submit or rely upon.
19. Disputes, refunds, chargebacks and account holds
Users should first use UGCHost’s Resolution Center or support process. We may temporarily hold funds or restrict transaction functionality while a dispute, fraud report, chargeback or legal issue is reviewed. Refund or cancellation outcomes depend on the contract, delivery status, evidence, provider rules and mandatory law. Filing a knowingly false chargeback, submitting fabricated evidence or abusing revision/refund tools may result in account restrictions.
20. Third-party services
The Platform may integrate with payment processors, social networks, advertising platforms, email providers, carriers, cloud hosts, analytics providers and other services. UGCHost does not control those services and is not responsible for their independent outages, policies or decisions. Your use of them may be governed by separate terms.
21. Suspension and termination
We may restrict, suspend or terminate access when reasonably necessary for security, fraud prevention, legal compliance, nonpayment, repeated marketplace abuse or a material breach of these Terms. Where appropriate, we may provide notice or an opportunity to resolve the issue. Rights and obligations that by their nature should survive termination — including payment, intellectual-property, dispute, indemnity and liability provisions — continue to apply.
22. Platform availability and disclaimers
UGCHost is provided on an “as available” basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, a particular number of jobs, Creator earnings, Brand sales, campaign performance, social reach, search placement or a successful collaboration. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
23. Limitation of liability
To the maximum extent permitted by applicable law, UGCHost and its operators will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost business, lost data or loss of goodwill arising from use of the Platform. Where liability cannot be excluded, aggregate liability relating to a claim will be limited to the greater of the amount of fees paid to UGCHost by the claimant during the twelve months preceding the event giving rise to the claim or the minimum amount required by mandatory law. This limitation does not apply where applicable law prohibits it.
24. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold UGCHost and its operators harmless from third-party claims, losses and reasonable costs arising from your unlawful conduct, infringement, content, material breach of these Terms, tax obligations, advertising claims or misuse of another person’s rights. This provision does not require indemnification for UGCHost’s own conduct where such indemnification would be unlawful.
25. Privacy and data protection
Our Privacy Policy explains how personal information is collected and used. Our Cookie Policy explains cookies and similar technologies. Users who process another person’s information through a collaboration must do so lawfully and only for legitimate marketplace purposes.
26. Changes to these Terms
We may update these Terms to reflect new features, legal requirements, security needs or business changes. Material changes will be posted with a new effective date and, where required, additional notice. Continued use after an effective change constitutes acceptance to the extent permitted by law.
27. Governing law and mandatory rights
These Terms, and any dispute, claim, or legal matter arising out of or relating to UGCHost or use of the Platform, will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
UGCHost is operated by Adechris LLC, a company based in Wyoming, USA. Unless applicable law requires otherwise, any legal proceedings arising from or relating to these Terms or the Platform will be brought in the appropriate state or federal courts located in Wyoming, and users agree to the jurisdiction of those courts.
Nothing in these Terms is intended to limit, exclude, or waive any mandatory rights or protections that cannot legally be waived under applicable consumer, employment, privacy, data protection, or other laws. Where such mandatory rights apply, they will remain in effect regardless of the governing law stated above.
